TERMS OF SERVICE (updated in May, 2025)

This agreement is between the company murb® and users of products, services, and websites (“You”).

YOUR ACCEPTANCE

By installing, using, or accessing murb products, services, platforms, or websites (collectively, the “Service”), You indicate your agreement with (1) these terms and conditions (the “Terms of Service”), and (2) the murb Privacy Policy, available at https://murbbrasil.com/politica-de-privacidade/ and incorporated herein by reference.

Although murb may attempt to notify You when major changes are made to the Terms of Service and Privacy Policy, You should periodically review the most current version at https://murbbrasil.com/termos-de-servico/. murb may, at its sole discretion, modify or revise the Terms of Service at any time, and You agree to be bound by such modifications or revisions.

COMMUNITY GUIDELINES

You may be permanently banned from the Service if You engage in any of the following actions:

• Offensive attacks or humiliation of individuals or groups;
• Engaging in inappropriate behavior, stalking, harassment, or intimidation;
• Engaging in offensive or hate speech;
• Engaging in bullying;
• Using third-party works or infringing any copyrights;
• Offering or recruiting users for gambling or financial pyramid schemes;
• Offering illegal products to users of the Service;
• Using or attempting to implement bots or automation on the platform;
• Attempting to hack or reverse engineer the Service.

You may also be prohibited if You take any other action that murb determines to be harmful to the Service or to other users’ use of the Service, or that violates applicable law.

MURB ACCOUNTS

To access certain features of the Service, You must create a murb account. You may not use another user’s account without permission. When creating your account, You must provide accurate and complete information. You are responsible for the activity that occurs under your account and must keep your account password secure. You must notify murb immediately of any breach of security or unauthorized use of your account.

murb will not be responsible for any losses incurred by You as a result of unauthorized use of your account.

We reserve the right to change, replace, remove, or reassign certain usernames in appropriate circumstances, as determined by us at our sole discretion, including when a username is that of a public figure, violates rights (including Intellectual Property Rights) of any third party, or violates applicable laws or regulations.

GENERAL USE OF THE SERVICE

murb grants You permission to access and use the Service as set forth in these Terms of Service, provided that:

• You agree not to alter or modify any part of the Service;
• You do not claim or seek registration or protection of any intellectual property or copyright rights over content owned by third parties;
• You do not use any automated system (including “robots” or similar technologies) that accesses the Service in a manner exceeding what would be reasonably possible by a human.

You agree not to use the Service for any of the following commercial uses unless You obtain prior written approval from murb:

• The sale of access to the Service; or
• The sale of advertising, sponsorships, or promotions placed on or within the Service, including any content shared on the Service.

In your use of the Service, You will comply with all applicable laws.

murb reserves the right to discontinue any aspect of the Service at any time.

USE OF CONTENT

In addition to the general restrictions above, the following restrictions and conditions apply specifically to the use of musical content and artwork (“Content”):

Content on the Service and the trademarks, service marks, and logos on the Service are owned by or licensed to murb and are subject to copyright and other intellectual property rights under applicable law.

You may access Content for your personal use exclusively within the functionality provided by the Service and as permitted under these Terms of Service. You may not copy, distribute, sell, license, or otherwise exploit any Content for any other purposes without prior written consent from murb or the respective content licensors. murb and its licensors reserve all rights not expressly granted in the Service and the Content.

You agree not to circumvent, disable, or otherwise interfere with security-related features of the Service or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Service or its Content.

You understand and acknowledge that You may be exposed to Content that is inaccurate, offensive, indecent, or objectionable, and You have the option to report third-party Content that You believe to be abusive to You or others directly to the Platform.

You agree to waive, and hereby waive, any legal or equitable rights or remedies You have or may have against murb in this regard and, to the extent permitted by applicable law, agree to indemnify and hold harmless murb, its owners, operators, affiliates, licensors, and licensees in all matters related to your use of the Service.

You agree to indicate to murb when Content created by You is explicit in text, audio, or image form so that it may be properly categorized within the Service.

YOUR CONTENT; LICENSE TO MURB

As a murb account holder, You may submit Content to the Service. You understand that murb does not guarantee confidentiality with respect to any Content You submit.

You are solely responsible for your own Content and the consequences of submitting such Content to the Service. You represent and warrant that You own or have the necessary licenses, rights, consents, and permissions to publish Content You submit; and You grant murb all works, phonograms, artwork, trademarks, copyrights, or other proprietary rights related to such Content for publication on the Service in accordance with these Terms of Service.

You retain all ownership rights in your Content. However, by submitting Content to murb, You grant murb a worldwide, non-exclusive, sublicensable, transferable, perpetual license to use, reproduce, monetize, synchronize, distribute, modify, include in advertising campaigns, social networks, websites, and applications, include in artificial intelligence, prepare derivative works of, display, and perform the Content in connection with the Service and murb’s business (and its successors and affiliates), including, without limitation, for promotion and redistribution of all or part of the Service (and derivative works) in any media format and through any media channels, including the internet, television, radio, satellite, applications, websites, billboards, magazines, printed materials, and periodicals.

You also grant each user of the Service a worldwide, non-exclusive, sublicensable, transferable license to access your Content through the Service and to use, reproduce, modify, prepare derivative works of, display, and perform such Content, royalty-free, including photos and images made available on the Service.

Many murb products are interactive and may be modified by other users of the Service without your prior approval. Such modifications may improve or harm your Content or You. You acknowledge and agree that other users may modify your Content at any time after submission and assume all related risks.

You are free to remove your Content at any time. However, You understand and agree that murb may retain server copies of your removed or deleted Content but will not display, distribute, or perform it. You further acknowledge that any Content You submitted, including Content modified by other users, that has been previously downloaded to personal devices by other users or persons will remain under the control of such users or persons.

You also agree that Content submitted to the Service does not contain third-party copyrighted material unless You have permission from the rightful owner or are otherwise legally authorized to publish the material and grant murb all license rights provided herein.

Music created within the Service using free or VIP beats may not be downloaded to personal devices for the purpose of registration, distribution, monetization, or commercialization without express authorization from the copyright holder (the music producer) and murb, through a specific contract, under penalty of liability for moral damages, material damages, and loss of profits.

In the remote event of Content download and subsequent registration on third-party platforms, You must immediately contact murb to regularize the work and licenses, identifying and crediting all authors and participants.

If You choose to use murb’s Distribution Service, You declare that You have read and agreed to the Phonogram Assignment Agreement for Digital Distribution available in the corresponding section and are aware of all applicable rights, obligations, and restrictions.

The Distribution Service includes, among other services, the service provided by murb to Users intending to publish, promote, display, or distribute their original or authorized music on digital platforms and/or streaming services.

You agree that murb has no responsibility in connection with the Content You make available on the Service. murb does not permit copyright infringement or violations of intellectual property rights and will remove Content upon proper notification. murb reserves the right to remove Content without prior notice.

THIRD-PARTY SERVICES

We may allow access to or advertising of third-party commercial websites (“Merchants”) from which You may purchase certain products or services. You understand that we do not operate or control the products or services offered by Merchants. Merchants are responsible for all aspects of order processing, billing, and customer service. We are not a party to transactions between You and Merchants.

You agree that use of such Merchants is at your sole risk and without warranties of any kind by murb. Under no circumstances shall murb be liable for any damages arising from transactions between You and Merchants or from any information appearing on merchant websites or linked websites.

Any revenue earned by murb from advertisers or sponsors, whether related or unrelated to licensed works within the Service, belongs exclusively to murb, and You have no right to such amounts.

PAYMENTS

We reserve the right to require payment of fees for certain additional features of the Service. Pricing changes may occur with thirty (30) days’ prior notice. Continued use constitutes acceptance.

To use payment methods, You must be at least 18 years old, emancipated, or have parental/legal guardian consent.

You represent that payment information provided is accurate, You are authorized to use the payment method, and You will pay all applicable charges.

All purchases are final except in cases of obvious error.

VIRTUAL CURRENCY POLICY

The Service may include virtual currency called “Beatcoin®.” Beatcoins have no monetary value and cannot be exchanged for real money or goods. All purchases are final and non-refundable.

murb reserves the right to modify or discontinue Beatcoin licenses at its discretion.

AFFILIATION PLAN (VIP ACCESS)

murb offers a paid “VIP Access” subscription with enhanced features. Subscriptions renew automatically unless canceled.

No refunds are issued for partially used periods unless determined by murb at its sole discretion.

BEAT STORE

murb may offer a beat marketplace acting solely as an intermediary. Upon purchase, rights are assigned definitively to the buyer, with 100% royalties.

RECEIPTS AND PRIZES

murb may promote competitions and prizes. Participation implies acceptance of the applicable terms.

COPYRIGHT CLAIMS

Copyright owners may submit infringement notices via info@murbbrasil.com.

ACCOUNT TERMINATION

murb may suspend or terminate accounts for violations. Users may request account deletion via info@murbbrasil.com.

Inactive accounts for over two (2) years may be deactivated or deleted.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

The Service is provided “as is” and “as available.” murb disclaims all warranties to the maximum extent permitted by law.

INDEMNIFICATION

You agree to indemnify and hold harmless murb from any claims arising from your use of the Service or violation of these Terms.

CAPACITY

You affirm You are legally able to accept these Terms.

ASSIGNMENT

These Terms may not be assigned by You but may be assigned by murb without restriction.

GENERAL

These Terms are governed by Brazilian law. Any disputes shall be resolved exclusively in the courts of São Paulo, Brazil.
